Terms of Service

AcuClient is a practice-management platform that helps licensed and unlicensed wellness professionals operate their practices. The service is provided on a subscription basis and is accessed through the web and any associated apps we publish.

You must provide accurate information when you sign up and keep it up to date. You are responsible for activity under your account and for keeping your credentials confidential. You must be at least the age of majority in your jurisdiction to open a business account.

If you add team members or give other people access to your workspace, you are responsible for their use of the service and for ensuring they comply with these terms.

AcuClient currently offers a 14-day free trial on new subscriptions. A valid payment method is required at checkout. If you do not cancel before the end of the trial, your subscription will automatically convert to a paid subscription and your payment method will be charged at the then-current rate for the plan you selected. You can cancel at any time before the trial ends from your account settings.

If the trial ends without conversion — for example, because the payment method declines — access to the practitioner workspace is paused, except for the billing area where you can update payment details and resume service. Your data is retained during this period.

Subscription fees are charged in advance on the cadence shown at checkout (monthly or annually). Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice to account owners; changes take effect on the next billing cycle after the notice period. Applicable taxes are added on top of the listed price.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to your data for 90 days following cancellation, after which it is permanently deleted unless law requires longer retention.

We may suspend or terminate your access with notice if you breach these terms, the Acceptable Use Policy, or applicable law, or if continued service would create undue legal or security risk. Where practical we will give you an opportunity to export your data first.

You retain all rights in the content and data you upload to or create in AcuClient. You grant Effect Wellness a limited license to host, process, display, and back up that content solely to provide the service and as otherwise permitted in the Privacy Policy. You are responsible for the lawfulness of the data you enter, including ensuring you have the consents required to enter client health information.

You agree not to use AcuClient in ways that violate law, infringe the rights of others, or threaten the security and integrity of the service. The full rules are in the Acceptable Use Policy, which is incorporated into these terms by reference.

We work to keep the service available and performant, but we do not guarantee uninterrupted access. We may add, modify, or remove features from time to time. If a change would materially reduce functionality of a paid feature you are actively using, we will give reasonable notice to account owners.

Each party will protect the other's confidential information with the same care it uses for its own similar information, and will not disclose it except to personnel and sub-processors who need to know and are bound by confidentiality obligations.

The service is provided on an “as is” and “as available” basis. Except as expressly stated in these terms, Effect Wellness disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

AcuClient is a practice-management tool. It does not provide medical, clinical, nutritional, legal, or financial advice. You are responsible for the clinical and professional decisions you make using the service.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to these terms or the service.

Our aggregate liability arising out of or related to this agreement shall not exceed the fees paid by you to Effect Wellness Inc. in the twelve (12) months preceding the claim.

You agree to defend and indemnify Effect Wellness against third-party claims arising from your use of the service in violation of these terms, your content, or your violation of applicable law. Effect Wellness will defend and indemnify you against third-party claims alleging that the service, as provided and used in accordance with these terms, infringes a valid intellectual property right.

These terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection rules in your jurisdiction, the parties submit to the exclusive jurisdiction of the courts of Alberta for any dispute arising out of or relating to these terms.

We may update these terms from time to time. If a change is material, we will notify account owners by email and update the “last updated” date above. Continued use of the service after the effective date constitutes acceptance of the updated terms.

Effect Wellness Inc. is registered at {{REGISTERED_ADDRESS}}. Legal notices may be sent to privacy@effectwellness.com. We will send notices to the email on file for your account.
